Terms of Use
Effective date: June 3, 2026
These Terms of Use (“Terms”) form a binding agreement between you and Zyg, LLC (“Zyg,” “we,” “us,” or “our”) and govern your access to and use of our website at zyglearning.org and the services we provide through it (collectively, the “Service”). BY CREATING AN ACCOUNT, CLICKING “I AGREE,” OR USING THE SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
Important: Section 17 contains a binding arbitration clause and class-action waiver that affect how disputes with us are resolved. Please read it carefully.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is offered in the United States; by using the Service, you represent that you are accessing it from within the United States.
2. Your Account
To use the Service you must create an account using third-party authentication provided by Google or Microsoft (collectively, “Identity Providers”). Your use of an Identity Provider is subject to that provider's separate terms of service and privacy policy.
You are responsible for maintaining the security of your account and the Identity Provider credentials you use to access it. You agree to (a) provide accurate, current, and complete information; (b) not share your account with anyone else; (c) promptly notify us at support@zyglearning.org of any unauthorized access; and (d) be responsible for all activity that occurs under your account. We may suspend or terminate your account at any time in accordance with Section 15.
3. Description of the Service
Zyg is a web-based study companion that helps users — particularly medical students and educators — organize study resources from third-party providers, create study schedules and playlists, track their understanding of material, exchange peer reviews, take and organize notes, and collaborate with other users. The Service does not host, provide, or distribute copyrighted educational content itself; instead, it allows users to save and organize links to external resources, some of which may be behind third-party paywalls and subject to separate subscriptions and terms.
4. Subscriptions, Billing, and Auto-Renewal
4.1 Paid Subscriptions
Access to the Service (or specific features of the Service) requires a paid subscription. Subscription plans, pricing, and billing periods are described at the point of purchase and are incorporated by reference into these Terms.
4.2 Payment Processing
Payments are processed by Stripe, Inc. By providing payment information, you authorize Zyg (through Stripe) to charge the applicable subscription fees, plus any applicable taxes, to your selected payment method. You represent that you are authorized to use the payment method you provide.
4.3 Automatic Renewal
YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL IT BEFORE THE RENEWAL DATE. BY SUBSCRIBING, YOU AUTHORIZE US (THROUGH STRIPE) TO CHARGE YOUR PAYMENT METHOD ON A RECURRING BASIS FOR EACH RENEWAL TERM AT THE THEN-CURRENT PRICE, PLUS APPLICABLE TAXES, UNTIL YOU CANCEL.
Each renewal term will be of equal length to your initial term (for example, monthly subscriptions renew monthly, annual subscriptions renew annually) unless we disclose a different renewal term at signup. We will charge your payment method on or about each renewal date.
4.4 How to Cancel
You can cancel your subscription at any time from your account settings (Settings → Billing → Manage subscription) or by emailing support@zyglearning.org. Cancellation takes effect at the end of the then-current billing period, and you will continue to have access until that date. We do not charge cancellation fees.
4.5 Price Changes
We may change subscription prices. If we do, we will provide advance notice (at least thirty (30) days) before the change affects you, and the new price will apply to your next renewal. You may cancel before the new price takes effect.
4.6 Refunds
Except where required by applicable law, subscription fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused time, or features you do not use.
4.7 Free Trials and Promotions
If we offer a free trial, the trial terms, including its duration and what happens when it ends, will be disclosed at signup. Unless we state otherwise, at the end of a free trial your subscription will convert automatically into a paid subscription at the then-current price, and you will be charged accordingly unless you cancel before the trial ends.
5. Acceptable Use
You agree not to, and not to permit any third party to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload, post, link to, or share content that is illegal, infringing, defamatory, harassing, hateful, obscene, or otherwise objectionable, or that you do not have the right to share;
- Upload or share protected health information (PHI), social security numbers, financial account numbers, or other highly sensitive personal data;
- Circumvent, attempt to circumvent, or assist others in circumventing paywalls, digital rights management, or access controls of third-party educational resources;
- Share, resell, or redistribute paid third-party content you access through links organized on the Service;
- Scrape, crawl, reverse-engineer, decompile, or disassemble any portion of the Service, except to the extent such restriction is prohibited by applicable law;
- Use automated means to access the Service, other than through publicly documented APIs we offer;
- Attempt to gain unauthorized access to any account, server, network, or system associated with the Service;
- Interfere with, disrupt, or impose an unreasonable load on the Service, including by introducing viruses, malware, or other harmful code;
- Share your account credentials or allow any other person to use your account;
- Use the Service to send spam, unsolicited communications, or to harvest other users' personal information;
- Use the Service in a manner that violates the rights of any other user, including privacy and intellectual property rights.
6. User Content
6.1 Your Content
The Service allows you to create, upload, and share content, including notes, study schedules, playlists, understanding ratings, peer reviews, comments, and links to external resources (“User Content”). You retain ownership of your User Content.
6.2 License to Us
You grant Zyg, LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting and display purposes), publish, display, and distribute your User Content solely for the purpose of operating, providing, and improving the Service, and for the purposes you direct (for example, sharing content with peers you choose). This license ends when you delete your User Content or your account, except to the extent required for us to maintain backups, comply with legal obligations, or preserve content you have shared with other users.
6.3 Your Responsibility for User Content
You are solely responsible for your User Content. You represent and warrant that (a) you have all rights necessary to post your User Content and to grant the license in Section 6.2; (b) your User Content does not infringe the intellectual property, privacy, or other rights of any third party; and (c) your User Content complies with these Terms and applicable law.
6.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Service (“Feedback”), you grant Zyg, LLC a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the Feedback for any purpose, without any obligation to compensate you.
7. Third-Party Content and Paywalled Resources
The Service enables you to organize and link to educational resources hosted by third parties, some of which require separate subscriptions or payments. Zyg does not host, own, control, or endorse these third-party resources. Availability, accuracy, and quality of third-party content are the responsibility of the applicable third party. Your access to and use of third-party resources are governed by the third party's own terms and policies, and you are solely responsible for maintaining any required third-party subscriptions or licenses. You agree not to use the Service to circumvent any third-party paywall or access control.
8. Intellectual Property
The Service — including its software, design, text, graphics, trademarks, logos, and all other content (other than User Content and third-party content) — is owned by Zyg, LLC or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-transferable, non-exclusive, revocable license to access and use the Service for your personal, non-commercial educational purposes. All rights not expressly granted are reserved.
“Zyg” and related names and logos are trademarks of Zyg, LLC. You may not use them without our prior written permission.
9. DMCA and Copyright Complaints
Zyg respects intellectual property rights and will respond to clear notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act (“DMCA”). If you believe User Content on the Service infringes your copyright, please send a written notice to our designated agent that includes:
- Your physical or electronic signature;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material;
- Your contact information, including address, phone number, and email;
- A statement that you have a good-faith belief that use of the material is not authorized;
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the owner of the right that is allegedly infringed.
Send DMCA notices to: support@zyglearning.org(subject line: “DMCA Notice”), or by mail to Zyg, LLC, 4664 West 5925 South, Hooper, Utah 84315, United States, Attn: DMCA Agent. We may terminate the accounts of users who repeatedly infringe intellectual property rights.
10. Medical Education Disclaimer
THE SERVICE IS AN ORGANIZATIONAL AND STUDY-PRODUCTIVITY TOOL. IT DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT, AND IT IS NOT A SUBSTITUTE FOR LICENSED MEDICAL EDUCATION, PROFESSIONAL MEDICAL JUDGMENT, OR CLINICAL SUPERVISION.
Content you and other users save, create, or share through the Service — including notes, peer reviews, and understanding ratings — reflects individual study impressions and is not verified medical information. Never rely on the Service for clinical decisions, patient care, or examination preparation without independent verification from authoritative sources. Do not submit or share any information identifying actual patients or that constitutes protected health information under HIPAA.
11. Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you acknowledge and agree to the practices described in the Privacy Policy.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ZYG, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT (INCLUDING USER CONTENT) WILL BE ACCURATE OR RELIABLE.
Some jurisdictions do not allow the exclusion of certain warranties; to that extent, the above exclusion may not apply to you.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZYG, LLC, ITS AFFILIATES, OR ITS OR THEIR OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR COSTS OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations of liability; to that extent, the above limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Zyg, LLC and its affiliates, officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of any rights of any third party, including intellectual property, privacy, or publicity rights.
15. Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, if (a) we believe you have violated these Terms; (b) your account is inactive for an extended period; (c) we are required to do so by law; or (d) we discontinue the Service. You may terminate your account at any time by canceling your subscription and contacting support@zyglearning.org to request account deletion. Upon termination, your right to use the Service ends immediately, but Sections 6.2 (license), 6.4 (feedback), 8 (IP), 10 (medical disclaimer), 12 (disclaimers), 13 (limitation of liability), 14 (indemnification), 17 (dispute resolution), and 18 (general) will survive.
16. Changes to the Service and These Terms
We may modify, suspend, or discontinue the Service (or any feature of it) at any time. We may also update these Terms from time to time. If we make material changes, we will provide notice by email or through the Service. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17.2 Informal Resolution
Before initiating any formal proceeding, you agree to first contact us at support@zyglearning.org and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
17.3 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be held in Salt Lake County, Utah, or, at your election, by videoconference or in the county where you reside. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
17.4 Class-Action Waiver
YOU AND ZYG, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
17.5 Exceptions
Either party may bring an individual action in small-claims court. Either party may also seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights pending resolution of any dispute.
17.6 Right to Opt Out of Arbitration
You may opt out of the arbitration agreement in Section 17.3 and the class-action waiver in Section 17.4 by sending written notice of your decision to opt out to support@zyglearning.org within thirty (30) days after first accepting these Terms. Your notice must include your name, account email, and a clear statement that you wish to opt out. If you opt out, the remainder of these Terms will continue to apply.
18. General
18.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Zyg, LLC regarding the Service and supersede all prior or contemporaneous communications.
18.2 Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
18.3 No Waiver
Our failure to enforce any provision of these Terms will not constitute a waiver of our right to do so later.
18.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction, including to any successor in interest.
18.5 No Agency
No agency, partnership, joint venture, or employment relationship is created by these Terms. Neither party has authority to bind the other.
18.6 Notices
We may provide notices to you by email to the address associated with your account or by posting on the Service. You may send notices to us at support@zyglearning.org or by mail to Zyg, LLC, 4664 West 5925 South, Hooper, Utah 84315, United States.
18.7 Export Controls
You represent that you are not located in a country subject to a U.S. Government embargo and are not listed on any U.S. Government list of prohibited or restricted parties.
